Terms of Service
Effective Date: April 4, 2026
1. Parties and Entity Structure
"Cuse Guys Media" refers collectively to Cuse Guys Media LLC, a New York limited liability company, and OneSource Technology Group LLC d/b/a Cuse Guys Media, an Indiana limited liability company. Services provided to clients in New York are provided by Cuse Guys Media LLC. Services provided to clients in Indiana, Kentucky, and other states are provided by OneSource Technology Group LLC d/b/a Cuse Guys Media. Both entities are collectively referred to herein as "Cuse Guys Media," "we," "us," or "our."
2. Limitation of Liability
To the maximum extent permitted by applicable law, Cuse Guys Media's total liability for any claim arising from or related to services provided shall not exceed the total fees paid by that client in the three (3) months preceding the claim. Cuse Guys Media is not liable for loss of revenue, lost profits, loss of business opportunity, data loss, or indirect, incidental, special, or consequential damages.
3. Disclaimer of Warranties
All services are provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
4. Indemnification
You agree to indemnify and hold harmless Cuse Guys Media and its members, contractors, and agents from any claims, damages, fines, or costs arising from:
- Content or materials you provided that infringe a third party's intellectual property
- Your breach of any service agreement
- Your failure to comply with applicable laws or regulations
- Any regulatory action arising from your industry or business practices
5. Governing Law and Disputes
Clients of Cuse Guys Media LLC (New York) agree to New York law and jurisdiction in Onondaga County, NY. Clients of OneSource Technology Group LLC d/b/a Cuse Guys Media (Indiana/Kentucky) agree to Indiana law and jurisdiction in Marion County, IN. Before initiating any formal legal proceeding, the parties agree to attempt resolution through good-faith negotiation for 30 days.
